  • The investor makes an indicative offer based on initial information.
  • Initial financial and strategic assessments.

Letter of Intent (LOI)

  • Negotiation and signing of an LOI that describes the intention to acquire shares and includes confidentiality and exclusivity clauses.
  • Establishment of conditions for due diligence.

Due Diligence (DD)

  • In-depth review of the target company's financial, legal, operational, and technical aspects.

Binding Offer

  • Adjustment of the offer based on due diligence results.
